- Sales enablement and RevOps consulting
Specific services, deliverables, timelines, and fees will be outlined in a separate Statement of Work (SOW) or service agreement.
3. Client Responsibilities
When engaging our services, you agree to:
- Provide accurate and complete information necessary for us to perform our services
- Grant appropriate access to your HubSpot account and related systems
- Review and provide timely feedback on deliverables
- Pay all fees as outlined in your service agreement
- Comply with all applicable laws and regulations
4. Intellectual Property
Our Intellectual Property
All content on our website, including text, graphics, logos, and software, is the property of 4Cast Agency and is protected by intellectual property laws. You may not use, reproduce, or distribute our content without prior written permission.
Client Materials
Any materials, content, or data you provide to us remain your property. By providing such materials, you grant us a limited license to use them solely for the purpose of providing our services to you.
Deliverables
Upon full payment, you will own the custom deliverables we create specifically for your project, unless otherwise specified in your service agreement.
5. Payment Terms
Payment terms will be specified in your service agreement. Generally:
- Invoices are due within 30 days of receipt unless otherwise agreed
- Late payments may incur interest charges
- We reserve the right to suspend services for overdue accounts
- All fees are non-refundable unless otherwise stated
6. Confidentiality
We agree to keep confidential any proprietary information you share with us in connection with our services. This includes business information, customer data, and any Protected Health Information (PHI) subject to HIPAA regulations.
7. HIPAA Compliance
When our services involve access to Protected Health Information (PHI), we will enter into a Business Associate Agreement (BAA) with you and comply with all applicable HIPAA requirements.
8. Limitation of Liability
To the maximum extent permitted by law:
- Our total liability shall not exceed the fees paid by you for the specific services giving rise to the claim
- We shall not be liable for indirect, incidental, special, consequential, or punitive damages
- We are not responsible for any third-party services, including HubSpot platform availability or functionality
9. Indemnification
You agree to indemnify and hold 4Cast Agency harmless from any claims, damages, or expenses arising from:
- Your breach of these Terms
- Your violation of any applicable laws
- Your use of our services
- Any content or materials you provide to us
10. Termination
Either party may terminate services as specified in the service agreement. Upon termination:
- You will pay for all services rendered up to the termination date
- We will provide reasonable assistance in transitioning your data
- Confidentiality obligations will survive termination
11. Disclaimer of Warranties
Our website and services are provided “as is” without warranties of any kind, express or implied. We do not guarantee specific results from our services.
12. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. Any disputes shall be resolved in the courts located in Miami-Dade County, Florida.
13. Changes to Terms
